Welcome to Alphawave Metal Trading LLC (“we,” “us,” or “our”). These Terms and Conditions govern the use of our services, including our proprietary trading services for precious metals and commodities. By accessing or using our services, you agree to comply with and be bound by these Terms and Conditions. If you do not agree, please refrain from using our services.

1. Definitions

Company: Refers to Alphawave Metal Trading LLC.
Client: Refers to individuals or entities entering into an agreement with Alphawave Metal Trading LLC.
Services: Buy and Sell of precious metals like Gold, Silver, Platinum, Palladium, Scrap Gold, Bullions provided by Alphawave Metal Trading LLC.
Transaction: Any sale, purchase, or other activity involving the trading of precious metals and commodities.
Payment Methods: Wire Transfer, Automated Clearing House (ACH), and Real-Time Payments (RTP).
Business Days: Monday through Friday, excluding public holidays observed in the United States.

2. Scope of Services

Alphawave Metal Trading LLC specializes in the proprietary trading of precious metals and commodities, including but not limited to gold and silver. Clients may buy and sell these assets through our trading platform or by entering into individual agreements with us. We reserve the right to modify, suspend, or discontinue any aspect of our services at our discretion, with or without notice.

3. Eligibility

By using our services, you represent and warrant that:

You are at least 18 years old and have full legal capacity.
You are not located in, under the control of, or a national or resident of any country subject to U.S. sanctions.
You are not on any U.S. government list of prohibited or restricted parties.
You comply with all relevant U.S. laws and regulations, including but not limited to anti-money laundering (AML) and counter-terrorism financing (CTF) laws.

4. Payments

4.1. Accepted Payment Methods

We accept the following payment methods:

Wire Transfers: Clients can transfer funds via traditional bank wire. All fees associated with the wire transfer are the responsibility of the client.
ACH Transfers: Clients may use the Automated Clearing House (ACH) for electronic payments. Processing times vary depending on the client’s bank.
RTP (Real-Time Payments): Payments can be made through the RTP network, ensuring near-instant transfers where supported.

4.2. Payment Terms

All payments must be made in U.S. Dollars (USD). Payment is due at the time specified in the individual trading agreement or within three (3) business days of initiating a transaction. Failure to make timely payments may result in the cancellation of your transaction and/or the application of late fees.

5. Pricing and Fees

Prices for gold and other precious metals are subject to daily fluctuations based on the type of gold, its quality, and current market conditions. Premiums and discounts may vary on a day-to-day basis due to changes in demand and supply. Alphawave Metal Trading LLC reserves the right to adjust pricing accordingly, without prior notice.

All transaction fees, including but not limited to wire transfer fees, ACH fees, and RTP fees, are the responsibility of the client.

6. Compliance with U.S. Laws

Alphawave Metal Trading LLC complies with all relevant U.S. federal, state, and local laws, including but not limited to the following:

6.1. Anti-Money Laundering (AML) and Counter-Terrorism Financing (CTF) Compliance

We comply with the Bank Secrecy Act (BSA), the USA PATRIOT Act, and other applicable regulations. Clients must provide sufficient identification and documentation for us to comply with Know Your Customer (KYC) and AML/CTF requirements. We reserve the right to suspend or terminate transactions that we believe are in violation of these regulations.

6.2. The Dodd-Frank Act

We comply with the Dodd-Frank Wall Street Reform and Consumer Protection Act where applicable to commodity trading activities, ensuring transparency and protection for market participants.

6.3. The Federal Trade Commission Act (FTC Act)

All services provided are in accordance with the provisions of the FTC Act, ensuring fair and competitive trading practices.

7. Privacy Policy

We collect, use, and disclose personal information in accordance with our Privacy Policy, which is incorporated by reference into these Terms and Conditions. The Privacy Policy outlines how we handle client information and data in compliance with the Gramm-Leach-Bliley Act (GLBA) and the California Consumer Privacy Act (CCPA), where applicable.

8. Intellectual Property

All intellectual property rights in the services, including but not limited to software, design, trademarks, and copyrighted material, are owned by Alphawave Metal Trading LLC or its licensors. You may not copy, modify, or distribute any part of our services without express written permission.

9. Liability

To the fullest extent permitted by law, Alphawave Metal Trading LLC and its affiliates, officers, employees, and agents will not be liable for any indirect, incidental, special, punitive, or consequential damages arising from or related to the use of our services. Our total liability to any client will not exceed the amount of fees paid to us by the client in the three months preceding the event giving rise to the liability.

10. Dispute Resolution

10.1. Governing Law

These Terms and Conditions are governed by the laws of the State of New York, without regard to its conflict of law provisions.

10.2. Arbitration

Any disputes arising from these Terms and Conditions will be resolved by binding arbitration conducted in Wyoming, WY, in accordance with the rules of the American Arbitration Association (AAA). Each party shall bear its own costs and fees associated with arbitration.

11. Termination

We reserve the right to terminate or suspend your access to our services at any time, without notice, for any reason, including but not limited to violation of these Terms and Conditions or applicable laws.

12. Changes to Terms and Conditions

We may update these Terms and Conditions from time to time. Any changes will be effective upon posting the updated Terms and Conditions on our website. Continued use of our services after any such changes constitutes your consent to the revised terms.
